Code of Conduct & Compliance

1. Purpose
This Code of Conduct establishes the standards of behavior expected of all Vendo employees, contractors, and partners. It reflects our commitment to ethical business practices, integrity, and accountability.
2. Scope
This policy applies to all individuals who represent or act on behalf of Vendo, including employees, contractors, consultants, board members, and authorized agents.
3. Core Principles
3.1 Integrity
We conduct our business with honesty and transparency. We do not engage in deceptive, misleading, or fraudulent practices.
3.2 Respect
We treat all individuals with dignity and respect, fostering an inclusive environment free from discrimination, harassment, and retaliation.
3.3 Accountability
We take responsibility for our actions and decisions. We acknowledge mistakes and work proactively to address them.
3.4 Confidentiality
We protect confidential information belonging to Vendo, our customers, and our partners. We do not disclose proprietary or sensitive information without proper authorization.
4. Compliance with Laws
All personnel must comply with applicable local, state, national, and international laws and regulations in all jurisdictions where Vendo operates. This includes but is not limited to:
- Data protection and privacy laws (GDPR, CCPA)
- Anti-corruption and anti-bribery laws
- Employment and labor laws
- Intellectual property laws
- Trade and export control regulations
5. Data Protection
Vendo is committed to protecting the privacy and security of personal data. All personnel must:
- Handle personal data in accordance with our Privacy Policy and applicable data protection laws
- Only access personal data that is necessary for their role
- Report any suspected data breaches immediately
- Complete required data protection training
6. Conflicts of Interest
Personnel must avoid situations where personal interests conflict or appear to conflict with the interests of Vendo. Any actual or potential conflict of interest must be disclosed to management promptly.
7. Anti-Corruption
Vendo has zero tolerance for corruption and bribery. Personnel must not offer, promise, give, or accept any improper payment, gift, or benefit to influence business decisions.
8. Reporting Violations
Personnel who become aware of violations of this Code of Conduct are encouraged to report them through appropriate channels. Vendo prohibits retaliation against anyone who reports a violation in good faith.
9. Enforcement
Violations of this Code of Conduct may result in disciplinary action, up to and including termination of employment or contract. Serious violations may also result in legal action.
10. Review
This Code of Conduct will be reviewed annually and updated as necessary to reflect changes in laws, regulations, or business practices.
